1. Introduction

Welcome to Skyroyce, an online platform operated by Skyroyce LLC (“Skyroyce,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of Skyroyce’s website, mobile applications, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to comply with and be bound by these Terms.

2. Definitions

● User: Any person who accesses or uses the Platform.
● Account: Your registered account on the Platform.
● Listing: An aircraft or aviation-related product listed for sale on the Platform.
● Buyer: A User who purchases an aircraft or aviation-related product through the Platform.
● Seller: A User who lists an aircraft or aviation-related product for sale on the Platform.
● Content: Any text, graphics, images, audio, video, and other materials uploaded,
downloaded, posted, or transmitted on or through the Platform by Users.

3. Registration and Accounts

3.1 Account Creation. To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Skyroyce of any unauthorized use or suspected unauthorized use of your account or any other breach of security.

4. Use of the Platform

4.1 License. Subject to these Terms, Skyroyce grants you a limited, non-exclusive, non-transferable, and revocable license to use the Platform for your personal or internal business purposes.

4.2 Prohibited Conduct. You agree not to:

● Use the Platform for any illegal or unauthorized purpose.
● Modify, adapt, or hack the Platform or modify another website so as to falsely imply that it is associated with the Platform.
● Reverse engineer, decompile, or disassemble the Platform.
● Interfere with or disrupt the Platform or servers or networks connected to the Platform.
● Attempt to gain unauthorized access to the Platform, user accounts, or computer systems or networks connected to the Platform.
● Use the Platform to infringe upon any person’s intellectual property rights.

4.3 Content Standards. You are solely responsible for all Content that you upload, post, transmit, or otherwise make available on the Platform. You agree not to upload, post, transmit, or otherwise make available any Content that:

● Is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
● Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights of any party.
● Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

5. Listings and Transactions

5.1 Listing Requirements. You agree to accurately and truthfully describe all Listings. Listings must not be fraudulent, false, misleading, or deceptive.

5.2 Transaction Process. Skyroyce is not a party to any transaction between Buyers and Sellers. Buyers and Sellers are solely responsible for all aspects of the transactions, including the accuracy of the Listings, payment, and delivery.

5.3 Fees. Skyroyce may charge fees for certain services, such as listing fees or premium memberships. All fees are non-refundable.

6. Intellectual Property

6.1 Ownership. All intellectual property rights in the Platform and Content are owned by Skyroyce or its licensors. You are granted no right or license with respect to any of the foregoing.

6.2 User Content. By uploading, posting, transmitting, or otherwise making available any Content on or through the Platform, you grant Skyroyce a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content in any media.

7. Privacy

7.1 Collection and Use of Information. Skyroyce collects and uses personal information in accordance with its Privacy Policy.

7.2 Cookies. The Platform may use cookies to enhance User experience. By using the Platform, you consent to Skyroyce’s use of cookies in accordance with its Privacy Policy.

8. Limitation of Liability

8.1 Disclaimer. To the fullest extent permitted by law, Skyroyce disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purose, and non-infringement.

8.2 Limitation of Liability. In no event shall Skyroyce or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or replacement costs, arising out of or in connection with your access to or use of the Platform, regardless of whether such liability is based on warranty, contract, tort (including negligence), or any other legal theory, even if Skyroyce has been informed of the possibility of such damages.

9. Indemnification
You agree to indemnify and hold harmless Skyroyce and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.

10. Governing Law and Dispute Resolution

10.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

10.2 Dispute Resolution. Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules.

11. Changes to Terms
Skyroyce reserves the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.
